You've specified too much RAM for the VM. Reduce it to 1.5 GB at most.

but the min sys reqmts for 64 bit is 2 GB RAM as per http://windows.microsoft.com/en-us/windows7/products/system-requirements.
anyways hv set to 1.5 GB - installation underway - but the screensize is limited. Its not occupying the full screen.
